Third Amended and Restated Financial Intermediary Distribution Agreement (the “Agreement”) effective as of the 1st of January, 2007, by and between DELAWARE DISTRIBUTORS, L.P. (“DDLP”), Delaware limited partnership, and LINCOLN FINANCIAL DISTRIBUTORS, INC. (“LFD”), a Connecticut corporation.

THIS AMENDMENT to the Exhibit A to the Investment Management Agreement dated September 24, 2004 (the “Agreement”) between DELAWARE GROUP GLOBAL & INTERNATIONAL FUNDS and DELAWARE MANAGEMENT COMPANY, a series of Delaware Management Business Trust (the “Investment Manager”), amended as of the 30th day of March, 2006 lists the Funds for which the Investment Manager provides investment management services pursuant to this Agreement, along with the management fee rate schedule for each Fund. This Amendment supersedes all previous amendments to Exhibit A to the Investment Management Agreement.

By our execution of this letter agreement (the “Agreement”), intending to be legally bound hereby, Delaware Distributors, L.P. (the “Distributor”) agrees that in order to improve the performance of Delaware Emerging Markets Fund, Delaware Global Value Fund, and Delaware International Value Equity Fund (collectively, the “Funds”), which are series of Delaware Group Global & International Funds, the Distributor shall waive a portion of the Rule 12b-1 (distribution) fees for the Delaware Emerging Markets Fund’s and Delaware Global Value Fund’s Class A Shares and Class R Shares and the Delaware International Value Equity Fund’s Class R Shares, so that such Funds’ Rule 12b-1 (distribution) fees will not exceed the amounts indicated below for the period April 1, 2007 through March 31, 2008:

AGREEMENT, made by and between DELAWARE GROUP GLOBAL & INTERNATIONAL FUNDS, a Delaware statutory trust (the “Trust”), on behalf of each series of shares of beneficial interest of the Trust that is listed on Exhibit A to this Agreement, as that Exhibit may be amended from time to time (each such series of shares is hereinafter referred to as a “Fund” and, together with other series of shares listed on such Exhibit, the “Funds”), and DELAWARE MANAGEMENT COMPANY, a series of Delaware Management Business Trust (the “Investment Manager”).
