Reference is made to (i) the Secured Convertible Note issued by BIO-key International, Inc., a Delaware corporation (the “Borrower”), to Laurus Master Fund, Ltd. (“Laurus”) on September 29, 2004 in the aggregate original principal amount of $5,000,000 (as amended, modified and/or supplemented from time to time, the “2004 Note”) pursuant to the Securities Purchase Agreement dated as of September 29, 2004 by and between the Borrower and Laurus (as amended, modified and/or supplemented from time to time, the “2004 Purchase Agreement”); and (ii) the Secured Convertible Note issued by the Borrower to Laurus on June 8, 2005 in the aggregate original principal amount of $2,000,000 (as amended, modified and/or supplemented from time to time, the “2005 Note,” and together with the 2004 Note, the “Notes”) pursuant to the Securities Purchase Agreement dated as of June 8, 2005 by and between the Borrower and Laurus (as amended, modified and/or supplemented from time to time, the “2005 Purchase Agr
