This STOCK PURCHASE AGREEMENT (this “Agreement”), dated as of April 25, 2007, is entered into by and among Overstock.com, Inc., a Delaware corporation (“Seller”), OTravel.com, Inc., a Utah corporation (the “Company”) and Castles Travel, Inc., a Delaware corporation (“Buyer”). Capitalized terms used herein and not otherwise defined herein have the meanings given to such terms in Section 1.3 below.
