This Purchase Agreement (this “Agreement”) is made as of April 24, 2007, by and among Outdoor Channel Holdings, Inc., a Delaware corporation (the “Seller”), Gold Prospectors’ Association of America, Inc., a California corporation and a wholly-owned subsidiary of Seller and the parent of Gold Prospectors’ Association of America, LLC, (“Parent GPAA”) and The Gold Business, LLC.
