Staples, Inc. (“Staples”) hereby agrees to award to the recipient named above (the “Recipient”) the number of shares of Common Stock of Staples (the “Shares”) set forth below in accordance with and subject to the terms, conditions, and restrictions of this Agreement and the Plan (each as defined below). If the conditions described below are satisfied, such award will be made under the terms of the Amended and Restated 2004 Stock Incentive Plan, as further amended or restated from time to time (the “Plan”), on the date set forth below (the “Vesting Date”).
