STOCKHOLDERS AGREEMENT dated as of December 28, 2005 among LPL Holdings, Inc., a Massachusetts corporation (the “Company”), BD Investment Holdings Inc., a Delaware corporation (“Buyer”), Hellman & Friedman Capital Partners V, L.P.
