THIS AGREEMENT (“Agreement”), dated the 6th day of May, 2005, as amended, on July 16, 2007, made and entered into by and between the Reserve Short-Term Investment Trust, a Delaware business trust (the “Trust”), on behalf of the Funds listed on Schedule A (each a “Fund”), and Reserve Management Company, Inc., a New Jersey corporation having its principal place of business in New York (the “Manager”).
