THIS AGREEMENT (“Agreement”), dated the 17th day of April, 2007, as amended, on July 16, 2007, made and entered into by and between the Reserve Municipal Money-Market Trust II, a Massachusetts business trust (the “Trust”), on behalf of the Funds listed on Schedule A (each a “Fund”), and Reserve Management Company, Inc., a New Jersey corporation having its principal place of business in New York (the “Manager”).
