This AMENDED AND RESTATED CREDIT AGREEMENT is entered into as of May 30, 2007, among LKQ Corporation, a Delaware corporation (the “Company”), LKQ Delaware LLP, a Delaware limited liability partnership having two Alberta unlimited liability companies as its partners (the “Canadian Company”), the financial institutions from time to time party to this Amended and Restated Credit Agreement (collectively, the “Lenders”; individually, a “Lender”), Bank of America, N.A., as Administrative Agent for the Lenders, Bank of America, N.A., by its Canada branch, as BOA Canada, LaSalle Bank National Association, as Syndication Agent for the Lenders, JPMorgan Chase Bank, National Association, as Documentation Agent for the Lenders, National City Bank, as Co-Agent for the Lenders and Banc of America Securities LLC, as Arranger.
