STOCK PURCHASE AND CONTRIBUTION AGREEMENT (this “Agreement”), dated as of July 31, 2007, by and among Centaur Holdings United States, Inc., a Delaware corporation (the “Purchaser”), Palace Holdings Group, LLC, a Delaware limited liability company (the “Seller”), and Palace Entertainment Holdings, Inc., a Delaware corporation and a direct, wholly owned subsidiary of the Seller (the “Company”).
