This SECOND AMENDED AND RESTATED CREDIT AGREEMENT is entered into as of August 31, 2007 (this “Agreement”) among AECOM Technology Corporation, a Delaware corporation (the “Company”), each Wholly-Owned Subsidiary of the Company from time to time after the Amendment Effective Date designated as a borrower hereunder (each, a “Subsidiary Borrower”, and collectively, the “Subsidiary Borrowers”, and together with the Company, the “Borrowers”), the several financial institutions from time to time parties hereto (each, a “Lender” and collectively, the “Lenders”), Bank of America, N.A., Union Bank of California, N.A., Harris N.A.
