This Separation Agreement and Waiver and Release of all Claims (“Agreement”) is made and entered into by and between Clarient, Inc. (the “Company”), and Karen Garza (“Executive” or “Employee”), who is currently serving as the Vice President, Business Development and Strategic Initiatives, in connection with the termination of employment of the Executive.

This Services Agreement (the “Agreement”) is made and entered into as of the 1st day of October, 2007 (the “Effective Date”) by and among Clarient, Inc.(“Clarient”), Safeguard Scientifics, Inc., Clarient’s majority shareholder (“Safeguard”) and Michael Pellini (“Executive” and, together with Clarient and Safeguard, the “Parties”).
