THIS EMPLOYMENT AGREEMENT (“Agreement”) is entered into as of October 3, 2007 , with an “effective date” of September 24, 2007, (executive’s anniversary of initial employment), by and between VINCE EASI (“Executive”) and FIRST NATIONAL BANK OF OTTAWA, a national banking association (the “Bank”), (which shall be deemed to include any affiliate or related entity of the Bank whether currently in existence or later created or acquired, including specifically the covenant not to compete and change of control provisions herein ), the terms of which are as follows:
