This Amended and Restated Change of Control/Involuntary Termination Severance Agreement (the “Agreement”) is made and entered into effective as of August 21, 2006 (the “Effective Date”), by and between William X. P&C and UTStarcom may hereafter be referred to in this Agreement individually as a “Party” or collectively as the “Parties.”
