Reference is made to the Stock Purchase Agreement, dated as of June 1, 2007 (the “Stock Purchase Agreement”), among Paramount Acquisition Corp. (“Paramount”), B.J.K., Inc. (“Chem Rx”) and each of the undersigned (collectively, the “Sellers”).
