THIS REGISTRATION RIGHTS AGREEMENT (the “Agreement”) is made and entered into October 12, 2007, among STEEL DYNAMICS, INC., an Indiana corporation (the “Company”), the subsidiaries of the Company listed on Schedule I hereto (the “Guarantors”) and BANC OF AMERICA SECURITIES LLC, GOLDMAN, SACHS & CO., MORGAN STANLEY & CO. INCORPORATED, NATCITY INVESTMENTS, INC. and WELLS FARGO SECURITIES, LLC (the “Initial Purchasers”).
