This Agreement supersedes and replaces the Change of Control Employment Agreement dated , between the Company and Executive (the “Prior Agreement”). Upon execution of this Agreement by Company and Executive, the Prior Agreement shall, effective as of December 31, 2007, terminate and be of no further force or effect.
