THIS EMPLOYMENT AGREEMENT (“Agreement”) is entered by and between Dr. Donald G. Payan (“Executive”) and RIGEL PHARMACEUTICALS, INC. (the “Company”), a Delaware corporation on December 17, 2007 (the “Effective Date”).
