THIS PURCHASE AGREEMENT dated as of January 8, 2008, is entered into by and among Alliant Techsystems, Inc., a corporation incorporated under the laws of Delaware (“Parent”), 0807865 B.C. Ltd., a corporation incorporated under the laws of the province of British Columbia (“Can AcquisitionCo”), ATK Space Systems Inc., a corporation incorporated under the laws of Delaware (“US AcquisitionCo”) and MacDonald, Dettwiler and Associates Ltd., a corporation existing under the laws of Canada (“MDA”). Parent, Can AcquisitionCo and US AcquisitionCo are collectively referred to herein as the “Parent Parties”.
