THIS REAL PROPERTY PURCHASE AND SALE AGREEMENT (this “Agreement”) is made and entered into January 11, 2008, by and between GANASTE LLC, a Nevada limited liability company (“Purchaser”) and SPEAKEASY GAMING OF LAS VEGAS, INC., a Nevada corporation (“Seller”).

This Termination Agreement is made and entered into, to be effective as of January 11, 2008 (the “Effective Date”), between Speakeasy Gaming of Las Vegas, Inc., a Nevada corporation (“Seller”) and Ganaste LLC, a Nevada limited liability company (“Purchaser”). Seller and Purchaser are referred to as “Party” and collectively as “Parties.”

Purchaser and Seller are sometimes individually referred to as the “Party” and collectively as the “Parties.”

Capitalized terms used herein and not otherwise defined shall have the meanings provided in the Glossary attached hereto.
