Silicon Storage Technology, Inc. (the “Company”), pursuant to its 1995 Equity Incentive Plan (the “Plan”) and its Offer to Amend Eligible 409A Options and to Replace Eligible Underwater Options has, effective April , 2008, amended your previously outstanding stock option (with the grant number ) to purchase shares of the common stock of the Company (“Common Stock”). This amended portion of your option is now referred to as grant number B and any previously exercised portion of this option is now referred to as grant number A. This option is not intended to qualify and will not be treated as an “incentive stock option” within the meaning of Section 422 of the Internal Revenue Code of 1986, as amended (the “Code”).
