This Stock Purchase Agreement (“Agreement”) is made as of April 24, 2008 (the “Effective Date”), by and among Broadwind Energy, Inc., f/k/a Tower Tech Holdings Inc., a Nevada corporation (“Buyer”), Badger Transport, Inc., a Wisconsin corporation (the “Company”), Allen F.
