This AMENDED AND RESTATED EMPLOYMENT AGREEMENT is entered into effective as of May 5, 2008 by and between THOMAS M. PRESCOTT (the “Executive”) and Align Technology, Inc., a Delaware corporation (the “Company”). This Agreement supersedes and replaces in its entirety that certain Amended and Restated Employment Agreement dated April 5, 2007 between the Executive and the Company.
