This Spectrum Manager Lease Agreement (“Lease Agreement”) is entered into as of this 31st day of October, 2007, between Globalstar Licensee LLC, a Delaware limited liability company and a wholly-owned subsidiary of Globalstar, Inc. with its principal place of business located at 461 South Milpitas Blvd., Building 5, Milpitas, CA 95035 (“Lessor”), and Open Range Communications, Inc., a Delaware corporation with its principal place of business located at 6465 South Greenwood Plaza Blvd., Suite 820 Centennial, CO 80111 (“Lessee”) (collectively the “Parties” or, individually, a “Party”).
