THIS FIRST AMENDMENT TO AMENDED AND RESTATED SENIOR UNSECURED INTERIM LOAN AGREEMENT (this “Amendment”) is dated as of June 19, 2008 and is entered into by and among FIRST DATA CORPORATION, a Delaware corporation (the “Borrower”), CITIBANK, N.A., as Administrative Agent (“Administrative Agent”), acting with the consent of the Required Holders holding a majority of the Required Debt and the GUARANTORS listed on the signature pages hereto, and is made with reference to that certain SENIOR UNSECURED INTERIM LOAN AGREEMENT dated as of September 24, 2007 (as amended and restated as of October 24, 2007, the “Interim Loan Agreement”), by and among the Borrower, the Lenders, the Administrative Agent and the other Agents named therein.
