THIS LOAN AND SECURITY AGREEMENT (this “Agreement”) dated as of the Effective Date between SILICON VALLEY BANK, a California corporation (“Bank”), and INTERNET BRANDS, INC., a Delaware corporation (“Parent”), AUTODATA, INC., a Delaware corporation, AUTODATA SOLUTIONS, INC., a Delaware corporation, CARSDIRECT MORTGAGE SERVICES, INC., a Delaware corporation, CD1FINANCIAL.COM, LLC, a Delaware limited liability company, INTERNET MEDIA SOLUTIONS, INC., a California corporation, and LOANAPP, INC., a Delaware corporation (each a “Borrower” and, collectively, “Borrowers”), provides the terms on which Bank shall lend to Borrowers and Borrowers shall repay Bank.
