This letter agreement is being executed by Res-Care, Inc. (the “Company”) and you (“Employee”) to provide for the parties’ agreements regarding your upcoming retirement from employment with the Company, the amendment of certain provisions in that certain Employment Agreement effective as of January 1, 2008, and executed by the parties on April 11, 2008, between the Company and Employee (the “Employment Agreement”) and the possible execution of an agreement between the parties for the provision of certain consulting services by Employee.
