THIS EMPLOYMENT AGREEMENT by and between IMS HEALTH INCORPORATED, a Delaware corporation (the “Company”), and David R. Carlucci (“Executive”), which was first effective as of October 7, 2002 (the “Effective Date”) and thereafter amended and restated effective as of December 3, 2002, January 1, 2005 and February 16, 2006 and amended effective January 1, 2005 is hereby amended and restated in its entirety effective as of January 1, 2005.
