THIS REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is made and entered into as of October 23, 2008 by and among Illinois Power Company, d/b/a AmerenIP, an Illinois corporation (the “Company”), and the Initial Purchasers (as hereinafter defined).
