THIS ASSET PURCHASE AGREEMENT (this “Agreement”) is made and entered into as of May 22, 2009, by and between and CMH MANUFACTURING, INC., a Tennessee corporation (the “Purchaser”), on the one hand, and FLEETWOOD ENTERPRISES, INC., a Delaware corporation (“ParentCo”), and FLEETWOOD HOMES OF TEXAS, L.P., a Texas limited partnership (“Fleetwood Texas” and together with ParentCo, the “Sellers”).
