For the purpose of rendering this opinion, I, or other attorneys in or under contract to the legal department, have participated in the preparation of or examined the proceedings taken by the Company with respect to the issue and sale of the Securities by the Company pursuant to the Underwriting Agreement dated May 28, 2009, between you and the Company relating to your purchase of the Securities (the “Agreement”), and have either participated in the preparation of or examined the Trust Indenture dated October 1, 1993, from the Company to U.S. Bank Trust National Association, as successor trustee (the “Trustee”), as heretofore supplemented and as further supplemented by Supplemental Indenture No. 19, dated May 1, 2009, creating the Securities (said indenture, as so supplemented and further supplemented, being hereafter referred to as the “Indenture”).
