THIS PLEDGE AGREEMENT (this “Agreement”) is made and entered into as of November 23, 2009, by and between TED T. DEVINE, an individual resident in the State of Illinois (“Pledgor”), and AON CORPORATION, a Delaware corporation (the “Secured Party”).

This Transition Agreement (the “Agreement”) is made by and between AON CORPORATION, a Delaware Corporation (“Aon” or the “Company”), and Ted T. Devine (“Mr. Devine” or the “Executive”) concerning the Executive’s continued employment and separation from employment with the Company. The effective date of this Agreement is as of November 18, 2009 (the “Effective Date”); provided that this Agreement shall be effective only upon its approval by the Board of Directors of the Company and/or its Organization and Compensation Committee and Governance/Nominating Committee.
