THIS AMENDED AND RESTATED REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is entered into as of December 18, 2009 by and between Cubic Energy, Inc., a Texas corporation (the “Company”), and Wells Fargo Energy Capital, Inc., a Texas corporation (the “Holder”), and amends and restates that certain Registration Rights Agreement, dated March 5, 2007, by and between the parties to this Agreement.

THIS SECOND AMENDMENT TO CREDIT AGREEMENT (the “Second Amendment”) made and entered into the 18th day of December, 2009, by and between CUBIC ENERGY, INC., a Texas corporation, and WELLS FARGO ENERGY CAPITAL, INC., a Texas corporation.
