This EMPLOYMENT AGREEMENT (this “Agreement”), dated December 21, 2009, is entered into by and between CREDO Petroleum Corporation, a Delaware corporation (the “Company”), and Marlis E. Smith, Jr., an individual (the “Employee”), to be effective as of January 1, 2010 (the “Effective Date”) as to all provisions hereof except for Section 3.(a), which shall become effective on January 16, 2010.
