This STOCK PURCHASE AGREEMENT, is made as of December 30, 2009, by and among General Physics Corporation, a Delaware corporation (the “Purchaser”), on the one hand, and PerformTech, Inc., a Maryland corporation (the “Company”), the stockholders listed on Schedule A hereto (each a “Stockholder”, collectively the “Stockholders” and, together with the Company, the “Sellers”) and Emma M. Lopo-Sullivan and Catherine G. Moran as the Sellers’ representatives (the “Seller Representatives”), on the other hand. Certain capitalized terms used herein are defined in Article I below.
