THIS ASSET PURCHASE AGREEMENT (this “Agreement”) is made as of February 1, 2010, by and among ConVista Consulting, LLC, a Virginia limited liability corporation (the “Company”), each of the members of the Company listed on the signature pages hereto (each a “Member,” and collectively, the “Members”), Virtusa Corporation, a Delaware corporation (“Buyer”), and Stefan Fraas and James Fraser, solely in the capacity as members’ representatives and only for the express purposes provided for herein (each a “Representative,” and collectively, the “Representatives”). Capitalized terms used in this Agreement without definition shall have the meanings given to such terms in Section 1.1 and Section 1.2 hereof.
