This Change of Control Agreement (the “Agreement”), dated and effective as of February 1, 2010 (the “Effective Date”), is entered into by and between Summer Infant (USA), Inc., a Rhode Island corporation (the “Company”), and the Employee of the Company named on the signature page hereto (the “Employee”).

This Employment Agreement (the “Agreement”) is made between Summer Infant, Inc., a Delaware corporation (the “Company”) and Jason Macari (the “Executive”) as of February 1, 2010 (the “Effective Date”).

This letter agreement may be executed in two or more counterparts, and by different parties hereto on separate counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Counterparts executed and exchanged by facsimile or electronic mail transmission shall be fully enforceable.
