THIS CREDIT AGREEMENT (“Agreement”), is entered into as of November 18, 2009, between WILLIS LEASE FINANCE CORPORATION, a Delaware corporation (“Borrower”), UNION BANK, N.A., together with any other Lender hereunder from time to time (collectively, the “Lenders” and individually, a “Lender”) and UNION BANK, N.A., as administrative agent (in such capacity, “Administrative Agent”), as the Swing Line Lender (in such capacity, “Swing Line Lender”), Issuing Lender (“Issuing Lender”), Security Agent (in such capacity, “Security Agent”), and Lead Arranger and WELLS FARGO BANK, N.A., as Co-Lead Arranger, effective as of the Closing Date, with reference to the following facts:
