THIS FIRST AMENDED AND RESTATED OPERATING AGREEMENT OF NISKA GAS STORAGE PARTNERS LLC, dated as of May 17, 2010, is entered into by Niska Gas Storage Management LLC, a Delaware limited liability company, as the Manager, together with any other Persons who become Members in the Company or parties hereto as provided herein. In consideration of the covenants, conditions and agreements contained herein, the parties agree as follows:
