THIS EMPLOYMENT AGREEMENT (this “Agreement”) is made as of the 2nd day of July, 2010 (the “Effective Date”) by and between Touchmark Bancshares, Inc., a Georgia corporation (the “Company”), Touchmark National Bank, a national banking association (the “Bank”), and Pin Pin Chau (the “Executive”). The Company and the Bank are collectively referred to herein as the “Employer”. This Agreement will be subject to approval of the Executive’s appointment by Office of the Comptroller of the Currency (OCC) and other regulatory authorities, as may be required.
