This COMPENSATION AGREEMENT (this “Agreement”) is made and entered into as of July 22, 2010 (the “Effective Date”), by and between AFOS, LLC, a Delaware limited liability company (“AFOS”), and Optimer Pharmaceuticals, Inc., a Delaware corporation (“Optimer”) (each individually may be hereinafter referred to as a “Party” and collectively referred to as the “Parties”).
