The undersigned, a shareholder [and an officer and/or trustee] of Government Properties Income Trust, a Maryland real estate investment trust (the “Company”), understands that Morgan Stanley & Co. Incorporated (“Morgan Stanley”) proposes to enter into an Underwriting Agreement (the “Underwriting Agreement”) with the Company providing for the public offering of the Company’s Common Shares of Beneficial Interest, par value $0.01 per share (the “Common Shares”).
