This REGISTRATION RIGHTS AGREEMENT dated October 4, 2010 (the “Agreement”) is entered into by and among Sinclair Television Group, Inc., a Maryland corporation (the “Company”), the guarantors listed in Schedule 1 hereto (the “Guarantors”), and J.P. Morgan Securities LLC (“J.P. Morgan”) as representative for Wells Fargo Securities, LLC, Citadel Securities LLC, BNP Paribas Securities Corp. and UBS Securities LLC (collectively with J.P. Morgan, the “Initial Purchasers”).
