THIS AGREEMENT, made and entered into April 17, 2006, among ING LIFE INSURANCE AND ANNUITY COMPANY (the “Company”), a life insurance company organized under the laws of Connecticut, on its own behalf and on behalf of each separate account of the Company set forth on Schedule A attached hereto, as such Schedule may be amended from time to time (each such account hereinafter referred to as the “Separate Accounts”), ING VARIABLE INSURANCE TRUST (the “Trust”) an open-ended management investment company and business trust organized under the laws of the State of Delaware, and ING FUNDS DISTRIBUTOR, LLC (the “Distributor”), a limited liability corporation organized under the laws of the State of Delaware.

This Amendment, effective as of February 8, 2011, amends the Transfer Agency Agreement (the “Agreement”) dated the 25th day of February, 2009, by and between PNC Global Investment Servicing (U.S.) Inc., now known as BNY Mellon Investment Servicing (US) Inc. , a Massachusetts corporation (“BNYM”), and each of the registered investment companies (each, a “Fund”) on behalf of all series thereof (each, a “Portfolio”) listed on Exhibit “A” of the Agreement, as amended from time to time.
