(the “Company”), Toshiba Medical Systems Corporation (“TMSC”) and Magenta Corporation, a wholly-owned subsidiary of TMSC (“Purchaser”), have entered into a definitive merger agreement that provides for TMSC’s acquisition of the Company. TMSC is a wholly-owned subsidiary of Toshiba Corporation.
