This AMENDMENT TO AND RESTATEMENT OF THE DISTRIBUTION AGREEMENT originally dated as of September 21, 1998, by and between PROTECTIVE LIFE INSURANCE COMPANY (“Insurer”), a life insurance company organized and existing under the laws of the State of Tennessee, on its behalf and on behalf of each separate account identified in Schedule 1 hereto, and INVESTMENT DISTRIBUTORS, INC. (“Distributor”), a corporation organized and existing under the laws of the State of Tennessee, is entered into this 15th day of June 2011.
