AGREEMENT, dated as of August 19, 2011 between Versus Capital Multi-Manager Real Estate Income Fund LLC, a limited liability company organized and existing under the laws of the State of Delaware and having its principal office and place of business at 7100 E. Belleview Avenue, Suite 306, Greenwood Village, Colorado 80111-1632 (the “Fund”) and The Bank of New York Mellon, a New York corporation authorized to do a banking business having its principal office and place of business at One Wall Street, New York, New York 10286 (“Custodian”).

This Transfer Agency And Shareholder Services Agreement (“Agreement”) is made as of August 19, 2011 (“Effective Date”) by and between BNY Mellon Investment Servicing (US) Inc. (“BNYM”), and the investment company listed on the signature page to this Agreement (the “Investment Company”). Capitalized terms, and certain noncapitalized terms, not otherwise defined shall have the meanings set forth in Schedule A (Schedule A also contains a glossary of defined terms providing the location of all defined terms).
