THIS BILL OF SALE (this “Bill of Sale”) is entered into as of September 16, 2011, by and among LendingTree, LLC, a Delaware limited liability company (“LendingTree”), Realestate.com, Inc, a Delaware corporation (collectively with LendingTree, “Seller”), and Market Leader, Inc., a Washington corporation (“Buyer”). This Asset Purchase Agreement (this “Agreement”) is dated September 15, 2011, by and between Market Leader, Inc., a Washington corporation (“Buyer”) on the one hand, and LendingTree, LLC, a Delaware corporation (“LT”) and Realestate.com, Inc., a Delaware corporation (“RE.com”, and together with LT, “Seller”), on the other hand. The parties hereto are referred to herein as the “Parties”, and each a “Party”.
