This Asset Purchase Agreement (this “Agreement”), dated as of July 25, 2011, is made by and between ITERIS, INC., a Delaware corporation (“Seller”), and BENDIX COMMERCIAL VEHICLE SYSTEMS LLC, a Delaware limited liability company (“Buyer”).
