STOCK PURCHASE AGREEMENT (this “Agreement”), dated as of December 2, 2011, by and between MRV COMMUNICATIONS, INC., a Delaware corporation (“Seller”), and CES HOLDING SA, a Swiss corporation (“Purchaser”), represented for the purpose of this Agreement by VINCI CAPITAL SWITZERLAND SA.
